The terms and conditions governing your use of MissionOpsAI services.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MissionOpsAI Ltd, a company registered in England and Wales ("MissionOpsAI", "we", "us", or "our"). By accessing or using any of our services, including the Foundry platform, M-Suite sovereign workspace, advisory services, APIs, documentation, and any associated websites or applications (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are accessing or using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" or "your" shall include that organisation. If you do not agree to these Terms, you must not access or use any of our Services.
Your use of the Services is also governed by our Privacy Policy, Cookie Policy, and Acceptable Use Policy, each of which is incorporated into these Terms by reference. In the event of a conflict between these Terms and any supplementary agreement or order form executed between us, the supplementary agreement shall prevail to the extent of the conflict.
Foundry AI Platform. MissionOpsAI provides an AI operations platform ("Foundry") that enables organisations to deploy, manage, and govern artificial intelligence capabilities within their own sovereign infrastructure. Foundry includes features such as the Command Channel for AI-directed task execution, a three-tier autonomy model (Autonomous, Supervised, and Commanded scopes), structured action governance with risk-tiered approval workflows, and integration with external AI models and data sources.
M-Suite Sovereign Workspace. M-Suite is our sovereign productivity and communications suite, providing email, calendar, document management, and collaboration tools hosted entirely on infrastructure under your control or ours. M-Suite is designed for organisations that require complete data sovereignty and cannot rely on third-party cloud providers for sensitive operational communications.
Advisory Services. MissionOpsAI offers strategic and technical advisory services to assist organisations in evaluating, planning, and implementing AI operations within their existing infrastructure and governance frameworks. Advisory engagements are governed by separate statements of work that supplement these Terms.
Service Availability. We endeavour to maintain the availability and performance of the Services, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice where practicable. Planned maintenance windows will be communicated in advance via our Status page.
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration, and to update such information as necessary to maintain its accuracy. You are responsible for safeguarding the credentials associated with your account, including passwords, API keys, and access tokens.
You are solely responsible for all activities that occur under your account, whether or not you have authorised such activities. You must notify us immediately at legal@missionopsai.com if you become aware of any unauthorised access to or use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
For enterprise and organisational accounts, the designated administrator is responsible for managing user access, permissions, and compliance with these Terms across all users within their organisation. Administrators may assign roles and action scopes within Foundry, and are responsible for ensuring that such assignments conform to their organisation's governance policies.
You agree to use the Services only for lawful purposes and in accordance with these Terms, our Acceptable Use Policy, and all applicable laws and regulations. You shall not use the Services to process, store, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
You are responsible for ensuring that any data, content, or instructions you provide to the Services (including prompts, training data, and configuration settings) do not infringe upon the intellectual property rights, privacy rights, or other rights of any third party. You shall not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except to the extent expressly permitted by applicable law.
You shall not attempt to circumvent or disable any security, authentication, or governance features of the Services, including the action approval system, risk tier classifications, or access controls. You shall not use automated means to access the Services in a manner that exceeds reasonable usage or places an undue burden on our infrastructure, unless expressly authorised under your service agreement.
You acknowledge that AI-generated outputs may contain errors, inaccuracies, or biases, and you are responsible for reviewing, validating, and approving any actions or outputs before relying upon them in any operational, legal, or safety-critical context.
Our Intellectual Property. The Services, including all software, algorithms, models, documentation, user interfaces, designs, trademarks, logos, and other materials provided by MissionOpsAI, are and shall remain the exclusive property of MissionOpsAI or its licensors. These Terms do not grant you any ownership interest in the Services, but only a limited, revocable, non-exclusive, non-transferable licence to use the Services in accordance with these Terms and your applicable service agreement.
Your Content. You retain all rights in and to any data, content, or materials that you upload, submit, or otherwise provide to the Services ("Your Content"). By using the Services, you grant us a limited, non-exclusive licence to process, store, and display Your Content solely as necessary to provide the Services to you. We shall not use Your Content for any other purpose, including training our own AI models, unless you provide explicit, informed consent.
AI-Generated Outputs. Ownership of outputs generated by the Services using your data and instructions ("Outputs") shall vest in you, subject to any limitations imposed by applicable law or the terms of underlying AI model providers. We make no representations or warranties regarding the originality, accuracy, or fitness for purpose of any Outputs, and you assume all risk associated with your use of them.
Feedback. If you provide us with any suggestions, ideas, enhancement requests, or other feedback regarding the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into the Services without restriction or obligation to you.
MissionOpsAI is built on the principle of data sovereignty. Where you deploy the Services on your own infrastructure (self-hosted or private cloud), your data remains entirely within your control and does not transit through or reside on MissionOpsAI systems, except where you expressly configure integrations that require data exchange.
Where we host the Services on your behalf, we process your data in accordance with our Privacy Policy and any applicable Data Processing Agreement. We shall implement appropriate technical and organisational measures to protect your data against unauthorised access, loss, or destruction, consistent with industry best practices and applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
We shall not access Your Content except as necessary to provide the Services, to comply with applicable law, or to respond to your support requests. All access to customer environments by MissionOpsAI personnel is logged and auditable.
Certain features of the Services require payment of fees, as set out in your applicable order form, subscription agreement, or the pricing published on our website. All fees are quoted in British Pounds Sterling (GBP) unless otherwise specified, and are exclusive of applicable taxes, which you are responsible for paying.
Fees for subscription services are billed in advance on a monthly or annual basis, as applicable. You agree to provide accurate billing information and to pay all fees when due. We reserve the right to suspend access to the Services if payment is not received within 30 days of the invoice date.
We may change our fees upon 30 days' written notice. If you do not agree to a fee change, you may terminate your subscription before the new fees take effect, and we will not charge you the revised amount for any remaining prepaid period.
To the maximum extent permitted by applicable law, MissionOpsAI, its directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, business interruption, or loss of goodwill, arising out of or in connection with your use of or inability to use the Services, regardless of the theory of liability and whether or not we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total fees paid by you to MissionOpsAI in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred pounds sterling (GBP 100).
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully limited or excluded under the laws of England and Wales.
You acknowledge that the Services involve artificial intelligence technologies that may produce unexpected, inaccurate, or inappropriate outputs. You assume all risk associated with reliance on AI-generated outputs and agree that MissionOpsAI shall not be liable for any losses arising from such reliance.
You agree to indemnify, defend, and hold harmless MissionOpsAI, its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party intellectual property, privacy, or other rights; (d) any data, content, or instructions you provide to the Services; or (e) any dispute between you and a third party relating to the Services.
We shall provide you with prompt written notice of any claim subject to indemnification, and we shall cooperate with you in the defence of such claim at your expense. We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree not to settle any such claim without our prior written consent.
You may terminate your account and stop using the Services at any time by providing written notice to legal@missionopsai.com. Upon termination, your right to access and use the Services will cease immediately, and we will delete or return Your Content in accordance with our data retention policies and any applicable Data Processing Agreement.
We may suspend or terminate your access to the Services immediately, without prior notice, if we reasonably believe that: (a) you have violated these Terms or any applicable law; (b) your use of the Services poses a security risk to us or other users; (c) your account has been compromised; or (d) continued provision of the Services to you is no longer commercially viable.
Upon termination for any reason, Sections 5 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), 11 (Governing Law), and 12 (Dispute Resolution) shall survive and continue in full force and effect.
If you are on a paid subscription and we terminate your account without cause, we will refund any prepaid fees for the unused portion of your subscription term. If we terminate your account for cause (including breach of these Terms), no refund will be provided.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, provided that we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or confidential information.
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation. You shall send a written notice of the dispute to legal@missionopsai.com, describing the nature of the dispute and the relief sought. We shall respond within 14 business days, and the parties shall endeavour to resolve the dispute within 30 days of the initial notice.
If the dispute cannot be resolved through negotiation within 30 days, either party may refer the dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London, in accordance with CEDR's Model Mediation Procedure. If mediation is unsuccessful, either party may commence proceedings in the courts of England and Wales in accordance with Section 11.
We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice before the changes take effect, by posting the updated Terms on our website and, where applicable, by notifying you via email or through the Services. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
If you do not agree to the modified Terms, you must stop using the Services before the effective date of the changes. For enterprise customers with active service agreements, material changes to these Terms will not apply until the renewal of your agreement unless you expressly consent to their earlier application.
We will maintain an archive of previous versions of these Terms, which you may request by contacting us at the address below.
Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any applicable order form or service agreement, constitute the entire agreement between you and MissionOpsAI with respect to the Services and supersede all prior or contemporaneous communications, whether oral or written.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent of the parties.
Waiver. No failure or delay by MissionOpsAI in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right or remedy on one occasion shall not be deemed a waiver of that right or remedy on any subsequent occasion.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets, without your consent.
Force Majeure. Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, fire, flood, earthquake, civil unrest, government action, power failures, internet or telecommunications failures, or cyberattacks.
Third-Party Rights. These Terms do not confer any rights on any person or party other than the parties to these Terms and, where applicable, their successors and permitted assigns, pursuant to the Contracts (Rights of Third Parties) Act 1999.
