Terms and Conditions
1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the MissionOpsAI Platform and associated services ("Platform") provided by MissionOpsAI Ltd, a company incorporated in England and Wales (company registration number 14437210), whose registered office is at The Top Floor, Kings Road, Bury St Edmunds, IP33 3DE ("we", "us", or "Company").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and MissionOpsAI Ltd.
2. Definitions
"Platform" means the Foundry AI operations platform, including all associated software, APIs, dashboards, and services made available by MissionOpsAI Ltd. "User" means any individual or entity accessing the Platform under a valid subscription or trial agreement. "Subscription" means the paid or trial licence granted to a User to access the Platform. "Content" means any data, text, documents, or materials uploaded to or processed by the Platform.
3. Account Registration and Access
To access the Platform, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@missionopsai.com if you suspect any unauthorised use of your account.
Account access is personal and non-transferable unless you hold an enterprise licence that expressly permits multiple named users. You must be at least 18 years of age and authorised to enter into contracts on behalf of your organisation to use the Platform.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with our Acceptable Use Policy. You must not use the Platform to process unlawful content, engage in activities that infringe third-party intellectual property rights, attempt to gain unauthorised access to any system or network, transmit malware or harmful code, or use the Platform in any way that could damage, disable, or impair its operation.
We reserve the right to suspend or terminate your account immediately if we reasonably believe you have breached these Terms or our Acceptable Use Policy, without prejudice to any other rights or remedies available to us.
5. Subscription and Payment
Subscriptions are available on terms set out in the applicable Order Form or Statement of Work. Fees are payable in advance and are non-refundable except as expressly stated herein or required by law. We reserve the right to modify pricing with not less than 30 days' written notice. Continued use of the Platform following a price change constitutes acceptance of the new pricing.
All fees are quoted exclusive of VAT. Where VAT applies, it will be charged at the rate applicable at the time of invoicing in accordance with UK tax law.
6. Service Level Commitments
We target 99.5% monthly uptime for the Platform, excluding scheduled maintenance windows (notified at least 48 hours in advance), emergency maintenance, events outside our reasonable control, and downtime attributable to User actions. Uptime is measured on a calendar-month basis.
In the event we fail to meet the uptime target in any given month, your sole remedy shall be a service credit equal to a pro-rata reduction of that month's subscription fee, applied to your next invoice. Service credits do not apply where the downtime is attributable to factors outside our control or to your own breach of these Terms.
7. Intellectual Property
All intellectual property rights in the Platform, including but not limited to software, design, trademarks, and documentation, are owned by or licensed to MissionOpsAI Ltd. Nothing in these Terms grants you any right in our intellectual property other than a limited, non-exclusive, non-transferable licence to use the Platform for the duration of your Subscription.
You retain all rights to your Content. By uploading Content to the Platform, you grant us a limited licence to process that Content solely for the purpose of providing the Platform services. We do not claim ownership of your Content and will not use it for any other purpose.
8. Confidentiality
Each party agrees to keep confidential all Confidential Information received from the other party and to use it solely for the purposes of performing obligations under these Terms. Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party, was already known to the receiving party prior to disclosure, or is required to be disclosed by law or a regulatory authority.
9. Limitation of Liability
To the maximum extent permitted by applicable law, MissionOpsAI Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunity, arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
10. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If the dispute is not resolved within 30 days of written notice, either party may refer the matter to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform with at least 14 days' notice before the changes take effect. Continued use of the Platform following notification constitutes acceptance of the revised Terms.
